Non-Disclosure Agreement (NDA)

A non-disclosure agreement should be used when a company enters into confidential discussions with a partner, customer, subcontractor, investor, or other external party. It protects trade secrets, business plans, technical solutions, and other sensitive information before the information is shared.

The need for an NDA typically arises at an early stage of a collaboration, but it is equally important in product development, commercialisation, financing rounds and various negotiation situations.
