Confidentiality agreements, trade secrets

Trade secrets form a significant part of a company's assets and immaterial capital. Trade secrets include, for example, strategies, customer data and production processes which are kept confidential.

Protection for trade secrets does not require registration and it is based partly on the law, but also on technical protection and specific agreements. The clauses in employment, cooperation, subcontracting and distribution agreements concerning the ownership and rights of use are essential in protecting trade secrets.

In our consultation concerning trade secrets we define, on a general level, which kind of trade secrets are to be protected, and we go through all existing employment contracts and other cooperation agreements. Further, we give recommendations on what kind supplementary clauses should be added to the agreements. The consultation may also include drafting model contracts or clauses.
